What is CR in Bahrain? Your Complete Guide to Commercial Registration

If you are planning to do business in Bahrain, you will hear the letters CR constantly. Banks ask for it. LMRA needs it before issuing a work permit or investor visa. Government tenders require it. Contracts refer to it. Understanding what a CR is – and what it actually means for your business – is the starting point for everything else.

What Does CR Stand For?

CR stands for Commercial Registration. It is the official certificate issued by the Ministry of Industry and Commerce (MOIC) confirming that your business exists as a legally registered entity in Bahrain. Without it, your company cannot operate legally, hire employees, open a corporate bank account, or bid for contracts.

Every business in Bahrain – whether a WLL company owned by a single foreign investor, a large joint-stock corporation, or a sole-trader individual registration – must hold an active CR to conduct commercial activity.

The certificate is issued through MOIC’s Sijilat portal (sijilat.bh) after the company formation process is complete.

What is a CR Number?

Once your company is registered, MOIC assigns it a permanent, unique identification number. This is your CR number. It appears on the CR certificate, on all official correspondence with government agencies, on invoices, and on company documents.

The CR number is the equivalent of a company ID card. It stays with the company for its entire existence — it does not change when you renew the CR annually, add activities, or update shareholders.

CR numbers in Bahrain follow this format: XXXXXX-XX

The first six digits identify the company, the two digits after the dash identify the branch or activity type. PI Startup Advisory’s CR, for example, is 132948-01.

CR Types in Bahrain

Not all CRs are the same. MOIC issues different types depending on the company structure and registration route you choose.

CCR – Commercial Company Registration: The standard CR for incorporated businesses: WLLs, BSCs, partnerships, and branches of foreign companies. This is what the vast majority of foreign investors register. The company is a separate legal entity. Shareholders have limited liability.

ICR – Individual Commercial Registration: For sole traders operating without a company structure. No separate legal entity – the individual and the business are the same. Not recommended for foreign investors because there is no liability protection and it does not qualify for an investor visa.

Sijili Registration: A simplified online registration for specific low-risk activities. Faster and cheaper than a full CCR, but limited in scope. Not accepted by all banks and not available for most activities that attract foreign investors.

CR Statuses in Bahrain

Your CR can be in one of five statuses in the Sijilat system:

Active – The CR is valid and in good standing. The company can legally operate.

Active without licence – The CR is registered but one or more required activity licences have not been renewed or obtained. The company exists but cannot legally conduct those activities.

Deleted with payment – The CR has been deregistered following a voluntary liquidation process. All outstanding fees were paid before closure.

Deleted by law – The CR was cancelled by MOIC, typically due to failure to renew or regulatory violations. This can have legal consequences for directors.

Deleted by law without licence – The CR was cancelled without meeting all licence requirements. Indicates an incomplete or disputed closure.

What Does a CR Certificate Include?

A Bahrain CR certificate contains:

  • Company name (in Arabic and English)
  • CR number and branch identifier
  • Legal company type (WLL, BSC, Partnership, etc.)
  • Registered office address
  • Date of issue and expiry date
  • List of approved commercial activities with their ISIC codes
  • Shareholder names (for some company types)
  • Authorised signatories

The activities listed on the CR are the only activities the company can legally conduct. Adding a new activity requires a separate MOIC application and, in some cases, approval from a sector regulator.

CR Renewal – Annual Requirement

A Commercial Registration must be renewed every year. The renewal window opens 30 days before the CR expiry date. Missing the renewal deadline results in automatic suspension of the CR and daily penalties.

Renewal fees vary by company type and number of activities. For most small-to-medium WLL companies, annual renewal costs between BHD 50 and BHD 200 depending on activities.

A lapsed CR cancels your investor visa basis, prevents bank account transactions, and can trigger LMRA complications for your employees. Renewal is not optional – it is the mechanism through which your legal right to operate in Bahrain continues.

What MOIC Actually Stands For

The authority that issues CRs in Bahrain is the Ministry of Industry and Commerce (MOIC). It was previously called the Ministry of Industry, Commerce and Tourism (MOICT) – you will still see “MOICT” on older documents, but the official name has been MOIC since the portfolio was split.

MOIC manages the Sijilat commercial registry, approves company names, issues CR certificates, handles shareholder changes and MOA amendments, and enforces compliance with the Commercial Companies Law (Decree No. 21 of 2001).

How to Get a CR in Bahrain

The full company formation and CR issuance process runs through seven steps:

  1. NPRA security clearance for all foreign shareholders
  2. Company name reservation through Sijilat
  3. Registered office address with EWA electricity bill
  4. Memorandum of Association notarisation
  5. MOIC application submission via Sijilat
  6. Fee payment and CR certificate issuance
  7. Post-registration: investor visa, bank account, LMRA registration

The process typically takes 11–21 working days for a straightforward WLL registration.

CR and the Investor Visa

Your CR is what entitles you to an investor residence permit (investor visa) in Bahrain. LMRA issues the investor visa to any foreign shareholder holding an active Commercial Registration – there is no minimum capital requirement, no minimum share value. A BHD 1 share in an active WLL is enough to qualify.

If your CR lapses or is cancelled, your investor visa basis is removed and LMRA will cancel the permit. This is why CR renewal is treated as urgent by anyone whose residency depends on it.

Frequently Asked Questions

Can I have more than one CR?

Yes. There is no limit on the number of companies a person can own or be a shareholder in. Each company has its own CR.

Can I change my CR activities?

Yes. Activity changes require a MOIC application and any required sector-regulator approvals. Some activities can be added online through Sijilat; others require in-person processing.

What happens if I operate without a valid CR?

Operating without a valid CR or outside your registered activities violates the Commercial Companies Law and can result in MOIC fines, CR cancellation, and – in cases of deliberate circumvention – criminal liability under commercial concealment laws.

Does CR renewal happen automatically?

No. You must initiate the renewal through Sijilat before the expiry date. MOIC does not auto-renew. If you are using a PRO service or advisory firm, they can manage renewal on your behalf.
