Types of Power of Attorney for Company Registration in Bahrain

To run a business in Bahrain, a power of attorney maybe required. It has four types, all of which must be notarized by the Ministry of Justice, Islamic Affairs and Waqf.

Following are the types of commercial Power of Attorneys in Bahrain:

General Commercial Power of Attorney

This type of POA grants vast and broad authority to an agent to manage daily operation, contractual compliances and execution, and financial matters.

Special Power of Attorney

The representative is restricted to a defined business task or transaction in this type of POA, such as purchasing a commercial real estate or signing a specific single contract.

Administrative Power of Attorney

The representative is authorized to handle official administrative and corporate filings such as CR management through Sijilat, or interaction with MOICT.

Litigation Power of Attorney

This type of POA empowers a Bahraini legal firm/lawyer to represent a company in court.

Key Requirements to Draft a Power of Attorney in Bahrain

Following are the key requirements to create an effective Power of Attorney document:

Choose the Right Agent: Select a trustworthy and competent person to handle affairs.
Identification Details: Provide clear identification details of both the principal and the attorney-in-fact, including names, addresses, and any pertinent identification numbers or passport information.
Clearly Define Powers: Outline specific tasks the agent can perform regarding the company registration process.
Consult Legal Experts: Taking advice from the legal professional to ensure compliance with local laws is recommended.
Sign in the Presence of Witnesses: Make sure the document is signed by the principal and witnessed as required by Bahraini law.
Notarization and Authentication: A Power of Attorney in Bharain is required notarization to ensure its validity and acceptance in business registration processes.

How to Obtain the Power of Attorney in Bahrain (Step-by-Step)

Below are the steps to prepare a power of attorney to register a company in Bahrain:

Step 1: Obtain the Right Draft

The principle will share a copy of their passport with the representative, and the representative will prepare a draft of power of attorney. The principle will review the draft to confirm the accuracy.

A correctly drafted POA helps avoid delays in company formation in Bahrain because the representative can handle registration steps without repeated document corrections.

Step 2: Visit the Notary

Visit a public or private notary near you. Present the draft, your passport and a copy of the representative’s passport to notary. The notary prepares the Power of Attorney document and will ask you to review it. Make sure all your details are accurate before signing it in front of the notary.

Once the Power of Attorney is notarized by the notary you can share a scanned copy with the representative and they will use it for initial processing.

Step 3: Attestation

The attestation of the power of attorney can be completed in 2 ways. Apostille Attestation and Embassy of Bahrain Attestation.

Option A - Apostille Attestation

Requirement: Your country must be participant in the Apostille Convention.

Procedure: The procedure is simple. Once you have notarized the Power of Attorney, send this document to the Ministry of Foreign Affairs of the same country for Apostille. They will put an apostille stamp on it and return it to you.

Option B – Embassy of Bahrain Attestation

Requirement: Your country is not a participant in the Apostille Convention.

Procedure: Get the Notarized Power of Attorney attested by your country’s Ministry of Foreign Affairs, then get it attested from the Embassy of Bahrain in your country.

In case your country is not a participant of the Apostille Convention and has no Embassy of Bahrain, contact us and our team will guide the procedure.

Investors applying from outside the country should complete POA attestation carefully, especially if the company setup will later support an investor visa in Bahrain.

Standard Fee

The cost for preparing and notarizing power of attorney is BD 6. This covers the initial documents and notary service.

Drafting of POA

Power of Attorney must be drafted through legal office. The cost of Draft is BHD 60-70

Each Additional Copy

If you require more than one certified copy of the notarized Power of Attorney, each extra copy costs BD 3.

Processing Time

The standard processing time for notarizing a Power of Attorney at the competent authority is 1 working day only if all required documents and information have been submitted correctly.

Service Provider

All notarizations and related attestations of Power of Attorney fall under the oversight of Ministry of Justice, Islamic Affairs and Waqt.

Legal Regulation

Decree-Law No. (14) of 1971 establishes the rules, authorities and procedures for drafting, witnessing, and authenticating legal documents including Powers of Attorney in Bahrain.
